TERMS OF SERVICE
1. ACCEPTANCE OF TERMS
By accessing or using the COBEAU LLC website, mobile application, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users, including pet owners seeking care and individuals offering pet care services through the platform (“Caregivers”).
COBEAU operates as a membership-based, peer-to-peer platform connecting members for pet care services. All users must be at least 18 years of age to register for an account. By creating an account or otherwise using the Services, you represent and warrant that:
- You meet these eligibility requirements;
- All information you provide is accurate and complete;
- You have not been previously suspended or removed from the Services;
- Your access and use of the Services does not violate any applicable laws; and
- If you are registering or using the Services on behalf of a business or entity, you have full legal authority to bind that entity to these Terms.
You may not access or use the Services if you fail to meet the above requirements, have been banned from the platform, or are otherwise prohibited from using the Services under applicable law.
2. MODIFICATIONS TO TERMS
COBEAU reserves the right to update or modify these Terms at any time. For non-material changes, the updated Terms will be effective immediately upon posting. If we make any material changes that impact your legal rights, we will provide advance notice through the Services, by email, or by other reasonable means.
If we make any changes that materially change the ways in which we use or disclose personal information previously collected from you, we will give you the opportunity to consent to such changes before applying them to that information.
We may, at our sole discretion, require your affirmative acceptance of updated Terms before you may continue using the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services, and we may suspend or terminate your account.
We encourage you to review the Terms periodically to stay informed of your rights and obligations.
3. DESCRIPTION OF SERVICES
COBEAU LLC (“COBEAU”) operates a membership-based, peer-to-peer marketplace that connects pet owners with independent pet-care providers (“Caregivers”) for services such as drop-in visits, walks, day care, boarding, and transportation (the “Services”). COBEAU provides the online platform, tools, scheduling, communications, and payment facilitation; COBEAU does not provide pet care, does not employ or supervise Caregivers, and does not take custody or control of any animal. Any service performed is a direct arrangement between members.
Features may include member profiles, ratings/reviews, messaging, booking and calendar tools, background-check integrations, identity and credential verification, payment processing, and optional risk-management offerings (e.g., insurance made available by third-party carriers). We may add, modify, limit, or remove features at any time, and certain features may not be available in all jurisdictions.
COBEAU does not control or supervise users, and we make no guarantees as to the quality, timing, legality, or safety of services provided by members. You are solely responsible for conducting any background checks, interviews, or other due diligence before engaging another user. Any content, instructions, or information provided by users is their responsibility, and COBEAU is not responsible for its accuracy or completeness.
No Veterinary, Medical, or Legal Advice. Information on the platform is for general informational purposes only and is not veterinary, medical, behavioral, training, or legal advice.
Inherent Risks of Pet Care. Pet care involves inherent and unpredictable risks, including animal bites/scratches, illness (including zoonotic disease), escape/loss, injury or death of pets or humans, property damage, transport risks (e.g., accidents, weather, heat), and interactions with other animals or environments. Vaccinations, safety protocols, and experience can reduce—but cannot eliminate—these risks. By using the Services, you acknowledge and assume these risks and agree that COBEAU is not responsible for harm arising from interactions between members, pets, or third parties, except to the extent such liability cannot be disclaimed under applicable law.
Insurance & Risk Management. COBEAU is not an insurer and does not provide insurance. Any insurance or warranties referenced on the platform are offered by third-party providers and are subject solely to those providers’ policy terms, limits, exclusions, deductibles, and state availability. COBEAU does not guarantee any coverage determinations.
4. ELIGIBILITY AND ACCOUNT REGISTRATION
You must be at least 18 years old and capable of forming a binding contract to create an account and use the Services. By registering, you represent and warrant that: (a) the information you provide is true, accurate, and complete; (b) you will maintain the confidentiality of your credentials and are responsible for all activity under your account; (c) your use of the Services complies with these Terms and applicable laws; (d) you have not been previously suspended or removed from the Services; and (e) if registering on behalf of a business or entity, you have full legal authority to bind that entity to these Terms. COBEAU may restrict access to the Services geographically, limit certain features by jurisdiction, or deny, suspend, or terminate accounts at its sole discretion for safety, compliance, or risk reasons.
Owner Representations. If you are a pet owner, you represent and warrant that: you have legal authority over the pet(s) listed and the right to engage a Caregiver; your pet’s health, behavior, and vaccination status are accurately disclosed, and you will provide any legally required vaccinations or licenses; your pet is free from contagious illness at the time of service; your pet wears a properly fitted collar/harness with identification and is on flea/tick prevention; you will supply accurate care instructions and disclose any known risks (including aggression history, bite history, medical conditions, triggers, or dangerous behavior); and you authorize the Caregiver to act in good faith to address emergencies (including obtaining veterinary care) and agree to reimburse all associated costs, subject to any spending cap you designate in writing before the service.
Caregiver Eligibility & Requirements. If you are a Caregiver, you acknowledge that you are an independent contractor, not an employee or agent of COBEAU, and you are solely responsible for your services, tools, taxes, permits, and compliance. To help promote platform safety, COBEAU may require identity verification, background checks, and ongoing re-screening through third-party providers, and you authorize those checks as a condition of access. You also represent and warrant that you will: comply with all applicable laws, regulations, and ordinances (including animal welfare, transport, leash/kennel, and zoning rules); maintain any licenses/permits required to provide pet services in your jurisdiction; provide a safe environment and follow the owner’s reasonable care instructions; not delegate services to third parties without the owner’s consent and COBEAU’s platform rules; maintain, where applicable, valid driver’s license and auto insurance for any pet transportation you choose to provide; and not permit offleash activity, dog-park visits, or group housing without the owner’s express written consent in the booking record.
Platform Discretion. COBEAU may approve, deny, suspend, or terminate any account (or access to specific features) at its sole discretion for safety, compliance, or risk reasons, including failed or concerning screening results, policy violations, or conduct determined to pose a safety or reputational risk to COBEAU, its users, or the public.
5. USER OBLIGATIONS AND COMPLIANCE WITH U.S. LAWS
As a condition of using the Services, you agree to comply with all applicable laws, regulations, and ordinances at the federal, state, and local levels, as well as these Terms. You further agree not to: use the Services for any unlawful, fraudulent, abusive, or unauthorized purpose; violate any applicable animal welfare, licensing, health, or safety laws or regulations; falsify, misrepresent, or omit any information about yourself, your pets, or your services; upload, transmit, or distribute viruses, malware, ransomware, or any malicious code; attempt to gain unauthorized access to other accounts, data, or systems connected to the Services; use automated scripts, bots, scrapers, or other tools to collect information or interact with the Services without prior written consent from COBEAU; interfere with, disrupt, or attempt to impair the integrity, security, or performance of the Services; engage in conduct that endangers the safety, health, or welfare of pets, users, or the public; circumvent or attempt to circumvent the platform to avoid paying fees owed to COBEAU; or use the Services to promote, solicit, or engage in any activity that violates another person’s rights, including intellectual property, privacy, or contractual rights.
Pet Owner Compliance Requirements. If you are a pet owner, you must: ensure your pet(s) are in good health and free from contagious diseases at the time of service; maintain up-to-date vaccinations and licenses as required by law, and provide proof upon request; provide accurate and complete care instructions to the Caregiver; disclose any known behavioral issues, bite history, aggression triggers, or safety concerns; comply with leash, transport, and housing requirements in your jurisdiction; and take reasonable steps to ensure a safe environment for the Caregiver to perform services.
Caregiver Compliance Requirements. If you are a Caregiver, you must: maintain all required permits, licenses, and insurance applicable to your services; follow all applicable laws, including animal welfare, transport, and public safety rules; provide safe, humane, and appropriate care at all times; follow the pet owner’s reasonable instructions and platform guidelines; use only safe and lawful equipment, vehicles, and facilities for pet care or transport; not allow unsupervised contact between pets from different households unless expressly authorized by the pet owners; comply with COBEAU’s background check requirements and any re-screening requests; and promptly report to COBEAU any incident involving injury to a pet, person, or property during a booked service.
Independent Contractor Status. Caregivers acknowledge and agree they are independent contractors, not employees or agents of COBEAU, and are solely responsible for their compliance with all tax, insurance, licensing, and regulatory obligations.
User Content and Proprietary Rights. The Services and all materials therein, including but not limited to the COBEAU platform, code, software, graphics, text, and branding (“Proprietary Materials”), are owned or licensed by COBEAU and are protected under United States and international copyright, trademark, and intellectual property laws. COBEAU grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for personal, non-commercial purposes consistent with these Terms. If you submit optional communications, feedback, reviews, images, pet profiles, or suggestions (“User Content”), you grant COBEAU a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, and distribute such content for internal business, platform improvement, and promotional purposes. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe or violate any third-party rights.
Data Privacy Compliance. COBEAU complies with applicable privacy laws including the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR), and other relevant laws. Certain personal data, including pet-related information, may be shared with third-party service providers (such as background check vendors, insurance carriers, analytics providers, hosting providers, and payment processors) as necessary to operate the platform. These providers are contractually required to protect such information and may access only what is necessary to perform their services. COBEAU reserves the right to suspend, restrict, or terminate any account that violates these Terms, applicable laws, or platform safety standards, or that COBEAU determines poses a risk to pets, users, or the public.
6. USER CONTENT AND INTELLECTUAL PROPERTY RIGHTS
Ownership of the Services. The Services and all materials therein—including the COBEAU platform, code, software, databases, compilations, interfaces, graphics, text, logos, and trade dress (collectively, “Proprietary Materials”)—are owned by or licensed to COBEAU LLC and are protected by U.S. and international intellectual property laws. All rights not expressly granted are reserved.
Limited License to You. Subject to your compliance with these Terms, COBEAU grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for their intended purpose (platform membership, listing and booking pet-care services, and related communications).
Your User Content. The Services may allow you to upload or submit content (e.g., profile information, photos/videos of pets, service listings, messages, instructions, reviews/ratings, feedback) (“User Content”). You retain ownership of your User Content, subject to the license below.
License You Grant to COBEAU. You grant COBEAU a worldwide, royalty-free, transferable, sublicensable, irrevocable, and perpetual license to host, use, reproduce, process, adapt, modify (e.g., for formatting or to blur sensitive info), publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating, marketing, improving, and providing the Services (including displaying listings, reviews, and pet profiles; trust & safety; training and quality; and promotional use such as showcasing caregiver work). You waive, to the extent permitted by law, any moral rights in your User Content. Where required by law, promotional uses of your personal likeness will follow applicable consent rules.
Representations and Warranties. You represent and warrant that: (a) you own or control all rights in your User Content and have the right to grant the above license; (b) your User Content is accurate and lawful, and does not infringe or misappropriate any third party’s intellectual property, privacy, or publicity rights; (c) if your User Content depicts any person, third-party property, or animals not your own, you have all necessary consents.
Reviews and Feedback. Reviews must be truthful, based on actual experiences, and comply with these Terms. COBEAU may use, display, adapt, aggregate, or translate reviews and other feedback without compensation, and may remove content that is fraudulent, abusive, or conflicts with trust & safety guidelines.
Prohibited Content. You may not upload content that is unlawful; misleading or deceptive; promotes animal cruelty or unsafe care; contains viruses or malicious code; doxxes others; is pornographic, harassing, discriminatory, or hateful; or violates third-party rights or platform policies.
Trademarks. “COBEAU” and associated marks are trademarks of COBEAU LLC. You may not use our marks without prior written consent.
DMCA / IP Complaints. COBEAU respects intellectual property rights and may remove allegedly infringing material upon notice. Repeat infringement may result in account termination. The name and contact information for COBEAU’s DMCA Agent will be posted on the platform. No Rights in Data/Systems. Except for your User Content, you obtain no ownership in any data, listings, rankings, or systems generated by or for the Services.
6A. ASSUMPTION OF RISK & COMPREHENSIVE PET LIABILITY WAIVER
You acknowledge that caring for, transporting, and interacting with animals carries inherent, unavoidable, and serious risks, including but not limited to: injury, illness, stress, escape, loss, or death of pets; injury to persons (including bites, scratches, zoonotic disease transmission, allergic reactions, or other animal-related harm); property damage; behavioral issues; unpredictable behavior by pets or humans, whether or not previously known; and hazards associated with travel, transportation, boarding, walking, handling, or administering medication. These risks may occur before, during, or after services, whether or not foreseeable, and may result from the acts, omissions, or negligence (whether active or passive) of COBEAU, Caregivers, pet owners, other users, or third parties.
By using the Services, you voluntarily and irrevocably:
- Assume all risks—known or unknown, foreseeable or unforeseeable—arising from your use of the Services or pet-care services arranged through the platform, except to the extent such assumption is prohibited by law.
- Release, waive, and forever discharge COBEAU LLC, its parents, subsidiaries, affiliates, officers, directors, members, managers, employees, contractors, agents, licensors, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, costs, and liabilities of any kind or nature, in law or equity, whether known or unknown, suspected or unsuspected, arising out of or related to the Services or any pet-care services arranged through the platform, except for claims that cannot be waived under applicable law, including those based on COBEAU’s gross negligence or willful misconduct.
- Agree to indemnify, defend, and hold harmless the Released Parties from any such claims brought by you, your estate, heirs, executors, administrators, assigns, or any third party claiming through you.
- Acknowledge that COBEAU does not employ, supervise, or control Caregivers and makes no representations or warranties regarding their background, suitability, qualifications, or compliance with law.
- Waive the protections of California Civil Code § 1542 and similar laws in other jurisdictions, which state that a general release does not extend to claims that the releasing party does not know or suspect to exist at the time of release.
- Affirm that this waiver applies to all time periods—before, during, and after your use of the Services—and survives termination of your account, changes in the law, or discontinuation of the platform.
This Assumption of Risk & Comprehensive Pet Liability Waiver is a material, bargained-for condition of your access to and use of the Services.
6B. BACKGROUND CHECKS & CAREGIVER REQUIREMENTS
COBEAU may, but is not obligated to, conduct identity verification, criminal background checks, or other screenings on Caregivers or Pet Owners using third-party providers. A successful background check does not guarantee that a user is safe, qualified, or suitable. You agree that: COBEAU makes no warranties regarding the conduct, safety, or integrity of any user; you are solely responsible for evaluating and selecting Caregivers or accepting pet-care assignments; all Caregivers are independent contractors, not employees, agents, or representatives of COBEAU; and Caregivers must comply with all applicable local, state, and federal laws, licensing requirements, and animal welfare regulations.
7. RESTRICTIONS ON USE
In connection with your access to or use of the Services, you agree not to: Platform Integrity & Security Access or use the Services for any unlawful or prohibited purpose, or in a manner that could damage, disable, overburden, or impair the platform. Attempt to gain unauthorized access to any account, data, or system; scan, probe, or test vulnerabilities; bypass or circumvent authentication or security controls. Introduce malware, spyware, ransomware, bots, scrapers, or automated means to access, extract, index, or copy data without COBEAU’s prior written consent. Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas of the Services, except to the extent such restriction is prohibited by law.
Market Fairness & Fee Integrity Circumvent or attempt to circumvent the platform or fees (e.g., arranging off-platform transactions initiated through COBEAU to avoid fees). If you do, COBEAU may charge the avoided fees and recover reasonable costs of collection. Manipulate pricing, bookings, reviews/ratings, search results, referrals, or promotions; submit false reviews or incentivize reviews in violation of law or policy. Create, use, or maintain multiple accounts to evade screening, suspensions, or limits, or to exploit promotions.
Safety, Animal Welfare, and Legal Compliance Violate any animal welfare, licensing, leash, transport, kennel, zoning, or public health/safety laws; transport pets without required restraints, equipment, licenses, or insurance where applicable. Provide or solicit veterinary diagnosis or medical advice unless you are properly licensed and the Service explicitly authorizes such use. Endanger pets, users, or the public; allow unsafe interactions between unrelated animals without the owners’ express consent; ignore disclosed pet risks or owner instructions. Use alcohol, illegal drugs, or impairing substances while providing or supervising pet-care services; carry weapons contrary to law or platform policy during services.
Conduct and Content Misrepresent your identity, credentials, insurance, permits, background-check status, pet ownership/authority, or any material fact related to a booking. Post, upload, or transmit unlawful, harassing, defamatory, hateful, discriminatory, obscene, or otherwise objectionable content; dox or threaten users; stalk or harass. Upload content that infringes or misappropriates others’ rights (IP, privacy, publicity) or that includes personal data of third parties without consent.
Data Use Collect, store, or process personal information from the Services except as permitted by these Terms and applicable law; sell, lease, or disclose user data obtained from the platform for your own marketing without consent. Frame, mirror, or otherwise incorporate the Services into another service without written authorization; publish performance tests or benchmarks of the Services without consent.
Enforcement. Violations may result in suspension or termination of your account, booking cancellations, withholding of payouts, deletion of content, referral to law enforcement, civil liability, and recovery of damages, in COBEAU’s sole discretion and as permitted by law.
8. PAYMENT TERMS AND SUBSCRIPTIONS
Some Services, including membership plans and certain booking features, are offered on a paid subscription basis or through per-transaction service fees. Fees will be displayed at the time of purchase or booking and are in U.S. dollars unless otherwise stated.
Payment Processing. All payments are processed through secure third-party payment processors, which may include Stripe, PayPal, Square, Braintree, and any additional authorized vendors COBEAU may engage in the future. By submitting payment information, you authorize COBEAU and its processors to charge your designated payment method for all amounts owed, including applicable taxes and fees. You are responsible for reviewing and understanding the applicable processor’s terms of service and privacy policy to learn how your payment data is handled. COBEAU does not receive or store your full payment card details.
Automatic Renewal. Memberships may renew automatically at the end of each billing cycle unless canceled before the renewal date. By enrolling in a recurring plan, you authorize COBEAU (or its processor) to automatically charge your payment method for renewal fees until you cancel.
Fee Changes. COBEAU reserves the right to modify its pricing or billing terms upon reasonable notice, which may be provided by email, through the platform, or in updated Terms. Continued use of the Services after fee changes take effect constitutes acceptance of the new fees.
No Off-Platform Payments. Users may not solicit or accept payment outside the platform for Services arranged through COBEAU. Doing so may result in account suspension, cancellation of bookings, forfeiture of fees, recovery of avoided fees, and other remedies.
Refunds and Cancellations. Refunds, partial refunds, and cancellations are governed by COBEAU’s then-current refund and cancellation policies, which will be posted on the platform. COBEAU may withhold or deduct payouts to Caregivers to offset customer refunds, chargebacks, processor fees, penalties, regulatory fines, or damages resulting from violations of these Terms.
Taxes. Users are responsible for any applicable taxes arising from transactions on the platform. Caregivers, as independent contractors, are solely responsible for reporting and paying their own income, self-employment, sales, and other taxes.
9. LICENSE AND ACCESS RIGHTS
Subject to your compliance with these Terms, COBEAU grants you a limited, personal, nonexclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for their intended purpose: to book, offer, and manage pet-care services through the platform.
This license does not include: any resale, distribution, or commercial exploitation of the Services or its content except as expressly permitted in writing by COBEAU; collection or use of platform listings, profiles, or data for competitive purposes; creation of derivative works from the Services; or any use that violates applicable laws or these Terms.
Reservation of Rights. All rights not expressly granted are reserved by COBEAU and its licensors. Unauthorized use automatically terminates this license.
Termination of License. COBEAU may revoke or suspend your license at any time, for any reason, including violations of these Terms, conduct deemed unsafe or harmful, attempts to circumvent fees, or other actions inconsistent with the platform’s safety and trust standards.
10. TERMINATION AND SUSPENSION
By COBEAU. COBEAU may suspend, restrict, or terminate your account, bookings, or access to the Services, with or without notice, if: you violate these Terms or applicable law; you engage in conduct that may harm pets, other users, COBEAU’s reputation, or the public; you fail or refuse to comply with verification, background checks, or insurance requirements; or we determine, in our sole discretion, that your continued use of the Services poses a safety, security, financial, or legal risk.
By You. You may terminate your account at any time by contacting COBEAU or using any available account deletion tools in your member dashboard. Termination does not relieve you of any outstanding payment obligations or liability for actions taken before termination.
Effect of Termination. Upon termination, your right to use the Services ceases immediately. COBEAU will handle your data according to its then-current Privacy Policy and data retention policies. Bookings scheduled to occur after termination may be canceled at COBEAU’s discretion, with refunds or payouts processed per our cancellation policies.
Survival. The following provisions survive termination: Intellectual Property, Disclaimers, Limitations of Liability, Indemnity, Governing Law and Dispute Resolution, and any other terms that by their nature should survive.
No Liability for Termination. To the fullest extent permitted by law, COBEAU is not liable for any loss, inconvenience, or damages resulting from account suspension or termination.
11. THIRD-PARTY SERVICES AND CONTENT
The Services may integrate or make available tools, services, or content provided by third-party vendors, including but not limited to payment processors (e.g., Stripe, PayPal, Square, Braintree), background check providers, identity verification vendors, insurance providers and brokers, analytics tools (e.g., Google Analytics, Amplitude), hosting and cloud infrastructure providers, and messaging or communications platforms (“Third-Party Services”).
Independent Providers. Third-Party Services are not owned or controlled by COBEAU, and your use of them may be subject to separate terms and privacy policies. You are responsible for reviewing those terms and policies before engaging with any Third-Party Service.
No Control or Responsibility. COBEAU does not guarantee, endorse, or assume responsibility for: the accuracy, reliability, or legality of any Third-Party Service; the availability or uninterrupted operation of such services; or any injury, loss, damage, or dispute arising from your interaction with a Third-Party Service.
Payment and Sensitive Data. Payments are processed directly by third-party providers. COBEAU does not receive or store your full payment card information. These providers may receive limited data (e.g., name, contact info, booking details) as needed to perform their services.
Background Checks & Insurance. If you choose (or are required) to use background checks, identity verification, or insurance offerings provided by third parties through COBEAU, you acknowledge that COBEAU is not the provider of these services and has no responsibility for the completeness, accuracy, or results. Passing a background check or obtaining insurance does not guarantee safety, legality, or fitness to provide pet care.
Changes & Removal. COBEAU may modify, suspend, or remove any Third-Party Service or integration at any time without notice and without liability for resulting impacts.
12. DISCLAIMERS AND LIMITATIONS OF LIABILITY
Platform Role. COBEAU is a neutral venue that connects pet owners with independent pet care providers (“Caregivers”). COBEAU does not employ, supervise, or control Caregivers, and does not guarantee the quality, safety, legality, suitability, or ability of any Caregiver or pet owner. All bookings and services are arranged solely between the parties.
Risk Assumption. You understand and agree that pet care inherently involves risk—including the risk of property damage, injury, illness, loss, or death of pets or humans—and that you voluntarily assume all such risks when using the Services.
No Veterinary or Medical Services. COBEAU does not provide veterinary or medical services. Any advice, information, or care instructions offered via the platform are provided by independent users and not vetted, approved, or guaranteed by COBEAU. You should consult licensed veterinarians or qualified professionals for medical or behavioral concerns.
“As Is” Basis. The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.
Service Interruptions. COBEAU does not warrant that the Services will be uninterrupted, errorfree, secure, or free from harmful components, or that defects will be corrected.
Limitations of Liability. To the maximum extent permitted by law: COBEAU will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, pets, or personal injury, arising from or related to your use of the Services. In no event will COBEAU’s total liability exceed the greater of (a) the amount paid by you to COBEAU in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain warranty exclusions or liability limitations, so these may not apply to you. In such cases, COBEAU’s liability will be limited to the fullest extent permitted by law.
12A. ASSUMPTION OF RISK & COMPREHENSIVE PET LIABILITY WAIVER
You acknowledge and agree that pet care services arranged through the COBEAU platform carry inherent, unavoidable, and serious risks, including but not limited to: injury, illness, stress, escape, loss, or death of pets; injury to persons, including bites, scratches, zoonotic disease transmission, allergic reactions, or other animal-related harm; damage to real or personal property; unpredictable behavior by pets or humans; hazards associated with travel, transportation, boarding, walking, handling, or administering medication; and risks occurring before, during, or after services, whether or not such risks are foreseeable.
By using the Services, you voluntarily and irrevocably: assume all such risks, except to the extent prohibited by law; release and discharge COBEAU and its affiliates from any claims, except for those based on COBEAU’s gross negligence or willful misconduct; agree to indemnify and hold harmless COBEAU from third-party claims arising from your acts or omissions; acknowledge COBEAU does not employ or supervise Caregivers; waive California Civil Code § 1542 and similar laws; and affirm that this waiver survives termination and is a material condition of your access to the Services.
13. INDEMNITY
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless COBEAU, its parent, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, insurers, successors, and assigns from and against any and all claims, demands, actions, suits, investigations, regulatory inquiries, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:
- Your use of or access to the Services, including pet-care services you provide or receive, and any activities conducted off-platform that originated through the Services.
- Any injury, illness, death, or property damage to pets, persons, or property in connection with your use of the Services.
- Your breach of these Terms, applicable law, regulations, or industry standards.
- Your violation or alleged violation of the rights of any third party, including intellectual property, privacy, publicity, contractual, or proprietary rights.
- Your User Content, including claims that it is defamatory, misleading, harmful, or infringes or misappropriates third-party rights.
- Any payment disputes, chargebacks, processor penalties, or tax obligations related to your transactions.
- Any government or regulatory action, fine, penalty, or investigation arising from your acts or omissions.
- Your fraud, negligence, gross negligence, recklessness, or willful misconduct.
COBEAU reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to fully cooperate with such defense and not settle any matter without COBEAU’s prior written consent. This obligation survives termination of your account and your use of the Services.
14. GOVERNING LAW AND DISPUTE RESOLUTION
Governing Law. These Terms and any dispute, claim, or controversy between you and COBEAU arising from or relating to the Services, these Terms, or any related transactions (whether in contract, tort, statute, or otherwise) will be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Venue. Subject to the binding arbitration provision below, you agree that the state and federal courts located in King County, Washington, will have exclusive jurisdiction over any action not subject to arbitration, and you irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to venue or forum non conveniens with respect to such courts.
Informal Resolution. Before commencing arbitration or other legal proceedings, the parties will first make a good faith effort to resolve the dispute informally by providing written notice describing the nature of the dispute and the relief sought, and allowing at least thirty (30) days for response.
Binding Arbitration. Except as expressly provided below, any dispute, claim, or controversy between you and COBEAU that cannot be resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect. The arbitration will be conducted by a single neutral arbitrator, seated in King County, Washington, in the English language, and governed by Washington law. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. Judgment on the award may be entered in any court having jurisdiction.
Class Action Waiver. You and COBEAU agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a class, collective, consolidated, or representative proceeding.
Exceptions. Notwithstanding the foregoing, either party may: (a) seek injunctive or other equitable relief in any court of competent jurisdiction for the actual or threatened infringement, misappropriation, or violation of intellectual property rights or breach of confidentiality; and (b) bring an individual action in small claims court if the claim is within that court’s jurisdiction.
Arbitration Fees & Costs. Payment of arbitration filing fees and arbitrator fees will be governed by the AAA Rules, except that COBEAU will reimburse you for such fees if you prevail and if the arbitrator determines such reimbursement is appropriate under the circumstances. The arbitrator may award reasonable attorneys’ fees and costs to the prevailing party to the extent permitted by law or the AAA Rules.
Severability. If any portion of this Section 14 is found unenforceable, the unenforceable provision will be severed, and the remaining arbitration terms will be enforced to the maximum extent permitted by law.
14A. INTELLECTUAL PROPERTY RIGHTS
All content, features, and functionality of the Services—including but not limited to software, code, text, graphics, logos, icons, images, audio clips, video clips, and the design, selection, and arrangement thereof—are the exclusive property of COBEAU or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for their intended purposes, subject to these Terms. Except as expressly permitted in writing by COBEAU, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or exploit any material from the Services.
All trademarks, service marks, and trade names of COBEAU used on or in connection with the Services are the property of COBEAU. Nothing in these Terms grants any license or right to use such marks without prior written consent.
14B. DMCA POLICY & CONTENT REMOVAL
If you believe that any content on the Services infringes your copyright, you may send a written notice pursuant to the Digital Millennium Copyright Act (“DMCA”) to our designated agent at:

- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
- Your physical or electronic signature.
COBEAU may remove content alleged to be infringing without prior notice and may terminate repeat infringers’ accounts. Counter-notification procedures are available upon request.
15. CHANGES TO THE SERVICES
COBEAU reserves the right, in its sole discretion and without liability to you, to update, enhance, modify, suspend, or discontinue any part of the Services (including any features, functionality, or content) at any time, for any reason, with or without notice. This includes the right to introduce new fees or modify existing pricing.
Changes to Terms. We may amend these Terms from time to time. If we make material changes that affect your legal rights or obligations, we will provide notice by posting the updated Terms on our website and/or sending you an email or in-platform notification. We will also update the “Last Modified” date at the top of the Terms.
We may, in our sole discretion, require you to affirmatively accept the revised Terms to continue accessing the Services. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Services.
Effect of Continued Use. Your continued access to or use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes, regardless of whether you have reviewed them.
We encourage you to periodically review the Terms to stay informed of your rights and obligations.
16. PRIVACY AND DATA PROTECTION
Your access to and use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information.
By accessing or using the Services, you acknowledge that you have read and understood our Privacy Policy and agree to its terms. Where applicable, your use of the Services may be subject to additional privacy terms imposed by third-party services integrated with the platform.
We respect the privacy of all users and are committed to complying with applicable privacy laws to safeguard personal information.
In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy shall control with respect to the collection and use of personal information.
17. ANIMAL DATA AND OWNER CONSENT
The Services may require you to provide information about pets in your care or being cared for, including but not limited to: name, breed, age, medical history, vaccination records, behavioral notes, dietary needs, and emergency contacts.
By submitting such information, you represent and warrant that: (a) you are the legal owner of the animal or are authorized by the legal owner to provide such information; (b) all information is accurate, current, and complete; and (c) you consent, and have obtained all necessary consents, for COBEAU to collect, store, and share such information with other users or third-party service providers as reasonably necessary to provide the Services.
You are solely responsible for updating animal data to reflect changes in health, vaccination status, or behavior, and for ensuring such information is provided to Caregivers before services are performed.
18. ACCESSIBILITY AND ACCOMMODATIONS
COBEAU is committed to providing an inclusive and accessible experience for all users.
If you have a disability or require accommodations to access our Services, please contact us at support@joincobeau.com. We will make good-faith efforts to meet applicable accessibility standards and to respond promptly to accommodation requests.
We do not guarantee compatibility with every device, operating system, or assistive technology, but will work to address any identified accessibility barriers in a commercially reasonable manner.
19. FORCE MAJEURE
COBEAU shall not be liable or responsible for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to: acts of God; severe weather; fire; flood; earthquake; epidemic; pandemic; war; terrorism; civil unrest; labor disputes; governmental actions; power or internet outages; or failures of third-party providers.
If a force majeure event occurs that affects the performance of our obligations under these Terms, we will use reasonable efforts to notify you as soon as possible and either (a) suspend the Services for the duration of the event, or (b) arrange an alternative solution where feasible.
You acknowledge that such events may result in cancellations, delays, or modifications to bookings, and you agree that COBEAU is not responsible for any resulting costs, losses, or damages.
20. ENTIRE AGREEMENT; SEVERABILITY
These Terms, together with our Privacy Policy and any supplemental policies, guidelines, or agreements expressly incorporated by reference, constitute the entire agreement between you and COBEAU regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, relating to the subject matter.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
